As part of the pre-contractual negotiations, we will prepare a Letter of Intent or Term Sheet to determine the basic parameters of the transaction. Subsequently, we will arrange the transfer of confidential information through the NDA and perform a legal due diligence on the subject of the acquisition to the extent of your needs.

In connection with the outcome of the legal due diligence, we will draft transaction documentation, or review the documentation prepared by the counterparty. We always strive to negotiate the best possible terms of the transaction and ensure its safe completion.

Financing

We do help you finance your business through an issue of corporate bonds, including bonds with a prospectus. Real Estate

We advise business companies and investors in the purchase and financing of commercial and residential properties, including related legal due diligence. In addition, we advise on the sale, lease, administration and other dispositions of real estate. All the necessary contractual documentation will be drafted for you.

For the investments into real estate, we establish investment funds and provide the related legal services.

Insolvency

Providing advice and represent clients in a wide range of insolvency matters. We always look at insolvency problems not only from a legal, but also from a business and economic point of view, in order to find the best solution.

In the first place, we help business companies during the critical development of their business to avoid insolvency. Should insolvency prove inevitable, we will prepare a debtor's insolvency petition ideally with the aim of reorganizing the company. Furthermore, we represent the company throughout the course of the insolvency proceedings.

We also advise creditors on how to assert their claims against insolvent debtors in order to achieve the highest possible satisfaction. Following the initial assessment of the situation, we will prepare an application for the registration of receivables and we will further represent the creditor and exercise their rights in all phases of insolvency proceedings. We assist secured creditors in choosing the best approach how to liquidate the debtor’s assets so as to maximize the proceeds.
